These Terms of Service (the “Terms”) govern your access to and use of https://yimu-packaging.com/ (the “Website”), including any inquiry, quotation, sample-request, file-upload, or other feature made available through the Website.

The Website is operated by Wenzhou YIMU Craft Products Co., Ltd. (“YIMU,” “we,” “us,” or “our”), a manufacturer of custom notebooks, journals, sticky notes, and other paper products providing OEM and ODM services.

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

1. Scope of These Terms

These Terms apply to your use of the Website and to preliminary business communications initiated through it. They do not, by themselves, constitute a contract for the manufacture or sale of products.

Any purchase, sample order, production order, or related service will be governed by the applicable quotation, pro forma invoice, purchase order accepted by YIMU, order confirmation, sales contract, specifications, or other written agreement between you and YIMU (collectively, the “Order Documents”). If there is a conflict between these Terms and the Order Documents, the Order Documents will control with respect to that transaction.

2. Business Use and Eligibility

The Website is primarily intended for businesses and professional buyers, including brands, retailers, importers, wholesalers, distributors, promotional-product companies, and other organizations seeking custom manufacturing services.

By using the Website on behalf of a company or other organization, you represent that you have authority to act for and bind that organization. You must be legally capable of entering into a binding agreement under the laws applicable to you.

3. Website Information Is Not a Binding Offer

We aim to present accurate and useful information about our products, materials, manufacturing capabilities, customization options, minimum order quantities, sampling, production, packaging, and delivery. However, Website content is provided for general information only and may change without notice.

Product images, colors, textures, dimensions, finishes, packaging, lead times, production capacities, minimum order quantities, and other details shown on the Website are illustrative unless expressly confirmed in the applicable Order Documents. Website content does not constitute a binding offer, guarantee, or technical specification.

Submitting an inquiry, requesting a quotation or sample, uploading files, or receiving an automated acknowledgment does not create an order or require either party to proceed with a transaction.

4. Inquiries, Quotations, and Order Acceptance

You agree to provide information that is accurate, current, and reasonably complete when submitting an inquiry or project request. Quotations are based on the specifications, quantities, materials, artwork, packaging, delivery terms, and other information available when the quotation is prepared.

Unless stated otherwise in writing:

  • quotations may be revised if project requirements, quantities, material costs, exchange rates, taxes, freight charges, or other relevant conditions change;
  • a quotation is valid only for the period stated in it;
  • an order is accepted only when YIMU confirms it in writing and any required deposit or payment has been received; and
  • no requested delivery date is binding until confirmed in the applicable Order Documents.

We may decline an inquiry or order where it is technically impracticable, unlawful, inconsistent with our policies, or otherwise unsuitable for production.

5. Samples, Proofs, and Approvals

Sample fees, tooling charges, courier costs, revision limits, and sample lead times will be stated in the applicable quotation or Order Documents. Unless otherwise agreed, samples are for evaluation and approval and may differ in limited respects from mass-produced products because of material availability, production methods, or normal manufacturing variation.

You are responsible for carefully reviewing and approving all relevant details, including dimensions, materials, colors, artwork, spelling, layout, pagination, binding, finishes, accessories, packaging, labels, barcodes, and shipping marks. Approval of a physical sample, digital proof, pre-production sample, specification sheet, or other confirmation authorizes us to proceed on that basis.

Changes requested after approval may affect price, minimum order quantity, tooling, and lead time. Any resulting cost or delay will be addressed in the applicable Order Documents.

6. Custom Manufacturing and Reasonable Variation

Custom paper products may be subject to reasonable manufacturing variation. Depending on the product and process, limited variation may occur in color, shade, paper texture, material grain, dimensions, weight, alignment, registration, foil position, embossing, stitching, binding, cutting, packaging, and quantity.

Screens, displays, digital mockups, and photographs may not reproduce physical colors or textures exactly. Where color accuracy is important, you should provide a recognized color reference and request an appropriate physical proof or sample.

Applicable tolerances, inspection standards, approved samples, and acceptance criteria should be recorded in the Order Documents before mass production.

7. Customer Materials and Intellectual Property

You retain ownership of the artwork, logos, trademarks, designs, text, specifications, and other materials you provide to us (“Customer Materials”).

You grant YIMU and the production partners reasonably involved in your project a limited, non-exclusive right to use, reproduce, adapt, and process the Customer Materials solely as necessary to evaluate your inquiry, prepare quotations or samples, manufacture and package the products, perform quality control, and fulfill the applicable order.

You represent and warrant that:

  • you own the Customer Materials or have all permissions required to use and provide them;
  • our authorized use of the Customer Materials will not infringe another party’s intellectual property, privacy, publicity, or other rights; and
  • the Customer Materials and requested products comply with applicable law and do not contain unlawful, deceptive, defamatory, obscene, or otherwise prohibited content.

We may refuse or suspend work that we reasonably believe could infringe third-party rights or violate applicable law. We may request evidence of authorization for licensed characters, trademarks, branded artwork, or other protected content.

Unless expressly agreed in writing, YIMU retains ownership of its pre-existing know-how, manufacturing methods, processes, standard structures, tooling concepts, templates, and other intellectual property developed independently of the Customer Materials. Ownership and permitted use of custom tooling, original design work, or development created specifically for a project will be governed by the applicable Order Documents.

8. Confidential Project Information

We will use reasonable care when handling non-public project information you provide for an inquiry or order. However, Website submissions are not a substitute for a separate confidentiality or non-disclosure agreement. If your project contains trade secrets, unreleased designs, or other highly sensitive information, please contact us before sending those materials so that appropriate confidentiality arrangements can be considered.

9. Prices, Taxes, and Payment

Prices, currency, payment schedule, bank charges, taxes, duties, tooling fees, sample fees, freight, insurance, and other costs will be specified in the applicable Order Documents.

You are responsible for making payments only to the bank account or payment destination stated in an authorized YIMU document. If you receive a request to change payment details, verify the change directly with your established YIMU contact using a previously confirmed communication channel before transferring funds.

We may suspend sampling, production, or shipment if a required payment is late, incomplete, reversed, or subject to a dispute, to the extent permitted by the applicable Order Documents and law.

10. Production, Delivery, Risk, and Title

Production and delivery dates are estimates unless expressly guaranteed in the applicable Order Documents. Lead times may begin only after we have received all required payments, final specifications, approvals, artwork, materials, and other information needed to proceed.

Shipping method, delivery destination, freight responsibility, transfer of risk, insurance, customs clearance, import requirements, and transfer of title will be governed by the applicable Order Documents, including any agreed Incoterms® rule and named place.

You are responsible for providing accurate shipping information and for complying with destination-country import, labeling, product-safety, and regulatory requirements unless the Order Documents expressly assign a responsibility to YIMU.

11. Inspection and Claims

Inspection methods, quality standards, remedies, and claim periods will be governed by the applicable Order Documents. You should inspect products promptly after delivery and notify us in writing of any claimed shortage, transit damage, or non-conformity within the agreed period, providing photographs, video, inspection records, samples, or other reasonable supporting information.

We will review properly documented claims in good faith. Any remedy—such as repair, rework, replacement, credit, or refund—will depend on the circumstances and the applicable Order Documents.

12. Acceptable Use of the Website

You may use the Website only for lawful purposes. You must not:

  • attempt to gain unauthorized access to the Website, its servers, accounts, or connected systems;
  • introduce malware, harmful code, automated attacks, or other disruptive technology;
  • scrape, harvest, or extract Website content or data at scale without our written permission;
  • interfere with the Website’s security, availability, or operation;
  • impersonate another person or misrepresent your identity, authority, or affiliation;
  • submit false, fraudulent, unlawful, or misleading inquiries;
  • use the Website or its content to infringe intellectual property or other rights; or

We may restrict or block access where we reasonably believe these Terms have been violated or the Website, YIMU, or another party may be at risk.

13. YIMU Website Content

The Website and its content—including text, graphics, photographs, videos, layouts, logos, icons, downloadable materials, and original design elements—are owned by or licensed to YIMU and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for legitimate internal business evaluation and sourcing purposes. You may not reproduce, republish, sell, license, modify, distribute, or commercially exploit Website content without our prior written permission, except as permitted by law.

YIMU names, logos, and brand elements may not be used in a way that suggests endorsement, partnership, or authorization without our written consent. Third-party names and marks appearing on the Website belong to their respective owners.

14. Third-Party Services and Links

The Website may contain links to, or features provided by, third-party websites and services. We do not control and are not responsible for their content, availability, security, terms, or privacy practices. Your use of a third-party service is governed by that provider’s own terms and policies.

Nothing in these Terms excludes or limits any warranty, right, or liability that cannot lawfully be excluded or limited. Product warranties and remedies, if any, are governed by the applicable Order Documents.

17. Limitation of Liability

To the fullest extent permitted by applicable law, YIMU will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising from or related to your use of, or inability to use, the Website, including loss of profit, revenue, business opportunity, goodwill, or data.

To the fullest extent permitted by applicable law, YIMU’s aggregate liability arising solely from your use of the Website will not exceed the greater of: (a) the amount you paid, if any, specifically to use the Website during the twelve months before the event giving rise to the claim; or (b) US$100.

This Section applies only to Website use. Liability arising from a sample, production order, product, shipment, or other transaction will be governed by the applicable Order Documents.

18. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless YIMU and its directors, officers, employees, and contractors from third-party claims, losses, liabilities, damages, and reasonable costs arising from:

  • your unlawful use of the Website;
  • your material breach of these Terms;
  • Customer Materials or instructions that infringe another party’s rights; or
  • your fraud, willful misconduct, or violation of applicable law.

This obligation does not apply to the extent a claim was caused by YIMU’s own unlawful conduct.

19. Events Beyond Reasonable Control

YIMU will not be responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, war, terrorism, civil disturbance, labor disruption, utility or network failure, government action, trade restriction, customs delay, carrier disruption, shortage of materials, or failure of a critical supplier despite reasonable precautions.

Any effect of such an event on a transaction will be handled under the applicable Order Documents and applicable law.

20. Governing Law and Dispute Resolution

These Terms and any dispute arising solely from use of the Website are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.

Before starting formal proceedings, you and YIMU agree to attempt in good faith to resolve the dispute through written communication. If the dispute cannot be resolved, it will be submitted to the competent court with jurisdiction over YIMU’s registered address, unless applicable law requires otherwise.

Disputes relating to a quotation, sample, order, product, payment, or shipment will be governed by the dispute-resolution terms in the applicable Order Documents.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Website, our practices, or legal requirements. The updated version will be posted on this page with a revised “Last updated” date. Changes apply from the date of publication unless otherwise stated. Your continued use of the Website after an update constitutes acceptance of the revised Terms to the extent permitted by law.

22. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, reorganization, sale of assets, or transfer of the Website or relevant business, subject to applicable law.

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and YIMU regarding use of the Website.
